Corporate Governance for Board Directors

A director carries personal liability for decisions taken collectively, often on the basis of information prepared by the people whose performance they are meant to oversee. This course addresses that position. Delegates work through directors' duties as a matter of law, and what care, skill and diligence mean in a board setting. The distinction between governing and managing is covered, including where a board oversteps and where it abdicates. Board composition, independence and committee structure follow. Reading a board pack critically is practised, including the questions that reveal what is missing. Strategy oversight, risk appetite and performance monitoring are addressed. Executive appointment, remuneration and succession follow. Conflicts, related party transactions and the recusal that protects a director are covered. The course closes on board evaluation, on liability and indemnity, and on what a director should do when the board is not functioning.
