Governance and Compliance

Strategic Corporate Governance

Governance fails at the level of behaviour long before it fails at the level of structure. This course covers both. Delegates work through board composition, committee structures and the division of responsibility between board and management, then move to the harder material: board dynamics, the conditions under which a board stops asking questions, and the warning signs that precede most governance failures. King IV provides the primary framework, with comparison to other codes used across the region. Delegates examine real governance failures and identify the point at which each was still preventable.

Course objectives

  • Describe board composition, committee structure and the division of responsibility
  • Apply the King IV principles and compare them with other regional codes
  • Assess board effectiveness through behaviour rather than compliance checklists
  • Identify the conditions under which a board stops challenging management
  • Evaluate the information a board receives and whether it supports decisions
  • Recognise the warning signs that precede governance failure
