Governance fails at the level of behaviour long before it fails at the level of structure. This course covers both. Delegates work through board composition, committee structures and the division of responsibility between board and management, then move to the harder material: board dynamics, the conditions under which a board stops asking questions, and the warning signs that precede most governance failures. King IV provides the primary framework, with comparison to other codes used across the region. Delegates examine real governance failures and identify the point at which each was still preventable.
