Corporate Law and Governance

This course covers the legal framework within which a company is governed. Delegates work through company formation and constitution, directors' duties and the standard of care expected, shareholder rights and remedies, capital and distribution rules, and the reporting and disclosure obligations that follow from incorporation. Director liability receives detailed treatment, including the circumstances in which the corporate veil is pierced and directors are held personally responsible. The framework is South African company law, with attention to the corresponding provisions in other African jurisdictions where a group operates across borders.
